Why investors pass on Indian D2C brands at seed
Investors pass on Indian D2C brands at seed when the numbers cannot be rebuilt from the raw data, when contribution margin turns negative once returns and COD are counted, when growth moves in step with ad spend, or when the founder cannot explain the business more precisely than the investor. Most passes come without reasons. These are the ones we see.
The red flags we see most
Revenue that isn't revenue. Gross order value reported as sales, before cancellations, returns and RTO. On a COD-heavy book, the gap is large enough to change the story.
A margin that only exists before RTO. Gross margin quoted before platform commissions, shipping both ways, payment gateway and COD fees. A fund will rebuild it in the meeting. We rebuild it before they do.
Growth that is rented. Revenue rises and falls with the Meta and Google budget. Cut spend for a month and the business shrinks to its repeat customers. A fund sees that in one chart.
One channel holding everything up. A single marketplace carrying most of the sales, with the brand's own site as a cost centre. The marketplace owns the customer, the pricing and the data.
Inventory eating the round. Stock bought ahead for a scale that hasn't arrived, or a supplier who could stop the business with one late shipment.
Claims the product can't carry. In skincare and supplements, a promise the formula or the certification can't back. We decline these outright.
A round sized to the deck. An amount that matches a valuation hope rather than the next milestone the business can actually hit.
A founder who reads the numbers second. If an investor finds the problem before you name it, the meeting is over.
What this page leaves out
Which of these is fatal and which is fixable depends on how they combine in your business, and on which fund you pitch. That judgement is the review. A list tells you where to look. It does not tell you what you will find.
Questions
FAQ
What is the biggest red flag for a seed D2C brand in India?
Numbers that cannot be rebuilt from raw data. Every other concern gets worse once an investor stops trusting the figures.
Why don't investors tell founders why they passed?
A detailed no invites argument and takes time. Most funds send a short pass and move on.
Does Avan turn founders down?
Yes, always in writing with the reason, and with a name if someone else is better placed to help.
Can a red flag be fixed before a raise?
Some can within months, some can't. The diagnostic note ranks them by what would cost you the round.
